1.GENERAL

1.1. FOCUS WORKPLACE CO., LTD., registered at 145/1 Moo 4 Sub-District of Maret, Koh Samui, Surat Thani, Thailand (hereinafter referred to as the "Company") offers to provide the Service described in section 2 hereof (hereinafter referred to as the "Service") to the Member, signed this Membership Agreement (hereinafter referred to as the "Member"), under the terms and conditions of this Membership Agreement.

1.2. The Company reserves the right to modify and/or update the Membership Agreement and provide the Member with notice of such modification.

2.DESCRIPTION OF SERVICES

2.1. The Company provides the Member with the next services:

• non-exclusive access to the office space (hereinafter referred to as the "Premises");
• office equipment;
• wireless Internet service.

2.2. The Services and the Membership Agreement are personal to the Member and may not be assigned to, transferred to or shared with any other party.

2.3. The fee for the Service is ฿ 6000 (six thousand Thai baht) per month.


3.REPRESENTATIONS AND WARRANTIES

3.1. The Member undertakes to comply with all relevant laws and regulations in the use of the Services at all times.

3.2. The Member agree that when on the Premises or using the Services, the Member will not:

• defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of other members and Company staff;
• use any material or information in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary right of the Company or any other member;
• use internet access provided as a Service to send or receive inappropriate, unlawful, or indecent material;
• use the Premises to conduct or pursue any illegal activities;
• restrict any other member from using any services, causing a business interruption, or preventing their enjoyment of any services;
• use Premises in a state of danger to others (including the presence of diseases that are dangerous to others, the state of alcohol and/or drug intoxication and any other state);
• bring any pets onto the Premises (unless permitted by law);
• bring any items onto the Premises which can disturb any other member or Company staff with a smell, sound or in any other way;
• make any damage to Premises or items of any member or Company staff;
• make any alterations and/or installations of additional design elements or furniture in the Premises without prior consultation and approval by the Company;
• or otherwise violate this Membership Agreement or any applicable laws and regulations.

4.LIMITATION OF LIABILITY

The Company will be not liable under any cause of action, for any indirect, special, incidental, consequential, reliance or punitive damages, including loss of profits or business interruption of the Member.

5.PAYMENTS

5.1. Upon signing this Membership Agreement the Member should pay the Company fee in accordance with section 2 of this Membership Agreement.

5.2. In order to avoid suspension of Services the next payment must be made no later than the last day of the previous monthly period.

6.RENEWALS & TERMINATIONS

6.1. The Company may immediately terminate this Membership Agreement:

• upon breach of this Membership Agreement by the Member;
• If Member fail to comply with the terms and conditions of the Membership Agreement;
• if payment was not made by the Member in accordance with clause 2 and clause 5.

6.2. Membership Agreement can be terminated by the request from Member. The Member should send a termination request in the written form to the Company’s email address info@beproductive.place, 5 days prior to the termination date.

6.3. There are no refunds of any fees or other amounts paid by the Member in case of the Membership Agreement termination.

6.4. The Member should retrieve all of their personal items from the Premises in 48 hours after Membership Agreement termination.

7.PRIVACY POLICY

7.1. The Company collect user's email and phone for the purposes of:

• receiving access to the membership service,
• receiving payment notifications,
• receiving updates of this Membership Agreement.
